| 1. NAME AND PLACE OF BUSINESS |
1) |
The Association shall be known as the Persatuan Jentera Pertukangan Kayu Malaysia (Malaysian Woodworking Machinery Association) - MWMA. |
|
2) |
The registered address of the Association shall be: No. 12A, 1st Floor, Jalan SS12/1B, 47500 Subang Jaya, Selangor, Malaysia. The registered address shall not be changed without the prior approval of the Registrar Of Societies. The place of meeting shall be the registered office of the Association or any other place as may be decided by the committee. |

| 2. AIMS AND OBJECTIVES |
 |
The objectives of the Society shall be: |
|
1) |
to promote the general and commercial interests and activities of its members, |
2) |
to settle disputes between its members in a fair and reasonable manner with prior consent of the members concerned. |
3) |
to promote and support exhibitions of its members' products and encourage communications and the exchange of information among members. |

| 3. MEMBERSHIP |
1) |
Ordinary Member |
|

Any person or persons or representatives of persons, above 18 years of age partnerships, firm or company whether corporate or non-corporate whose main business is manufacturing or supplying woodworking machinery and equipment to the timber and furniture industry in Malaysia shall be eligible for Ordinary membership of the Association. |
2) |
Associate Member |
| |
Any person or persons or representatives of persons, above 18 years of age, partnerships, firm or company whether corporate or non-corporate whose main business is related or supportive to the woodworking machinery or where the committee deems suitable shall be eligible for Associate Membership of the Association. The Associate members shall not have the right to vote, to hold office, to request for calling of Extraordinary General Meeting and to be considered for purpose of a quorum for a general meeting. |

Every application for membership shall be proposed and seconded by two (2) existing members and shall be forwarded to the Secretary who shall at the first convenient opportunity, submit it to the Committee for approval. The Committee may at its discretion reject any application without assigning any reason therefor. |
4) |
Every applicant whose application has been approved as aforesaid shall, upon payment of the prescribed entrance fee and first yearly subscription, be admitted as a member of the Society and shall be entitled to all the privileges of membership. Any partnership, firm or company shall be entitled to nominated one (1) representative to exercise all rights of membership. |

| 4. ENTRANCE FEES, SUBSCRIPTIONS AND OTHER DUES |
1) |
The objectives of the Society shall be:The entrance fees and subscriptions payable for both Ordinary and Associate memberships shall be as follows :
Entrance fee RM 1000.00
Yearly subscription RM 100.00 |

2) |
The annual subscription shall be payable to the Treasurer before the end of the month of April every year. |
3) |
Any member who allows his subscription arrears to exceed two (2) months shall receive a written notification signed by, or on behalf of the Secretary, and shall be denied the privileges of membership until he settles his account. |
4) |
Any member who allows his arrears to exceed three (3) months shall automatically cease to be a member of the Society, and the Committee may direct that legal action be taken against him, provided that they are satisfied that he has received due notice of his debts. |
5) |
The Committee shall have the power to fix a re-entrance fee for any person who has allowed his membership to lapse through arrears. |
6) |
Special subscriptions or levies for particular purposes may be raised from members by resolution of the general meeting of the Society. If any member fails to pay such subscription/s within such periods as may be resolved, the amount due shall be treated in the same way as arrears of subscription. |

| 5. RESIGNATION |
1) |
Any member who wishes to resign from the Society shall give two (2) weeks notice in writing to the Secretary and shall pay up all dues. |
